eAA Articles of Association

The Articles of Association set out the formal governance framework for the e-Assessment Association, including the company’s objects, powers, membership structure, and the roles and responsibilities of the Board of Directors.

Following member approval, the e-Assessment Association now operates as E-Assessment Association Limited, a non-profit distributing company limited by guarantee. The Articles provide the legal foundation for how the organisation is governed, how decisions are made, and how it operates for the benefit of its members.

They cover, among other things:

  • the purpose and objectives of the Association
  • the powers and duties of the Board
  • membership categories and meetings
  • financial controls and accountability
  • provisions relating to liability and winding up.

The current Articles of Association were adopted on incorporation and remain in force unless and until amended in accordance with company law and member approval.
